Terms of Use

Welcome to the "That Day" App (hereinafter referred to as "the App" or "the Service"). These terms are entered into by and between the independent developer Zhao Yang (hereinafter referred to as "we", "us", or "our") and you (hereinafter referred to as "the User" or "you").

By downloading, installing, accessing, or using the App, you indicate that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, please stop using the App immediately.

1. Scope and Eligibility

• These Terms apply to your use of the "That Day" iOS client and related features.
• You should have full civil capacity; if you have not reached the legal age in your region, you should use the App under the consent and guidance of a guardian.
• Your use of the App must also comply with Apple platform rules (including App Store terms, payment rules, etc.).

2. Service Content

• The App primarily provides recording, organizing, reviewing, and importing/exporting functions, including content management for text, images, videos, audio, locations, moods, etc.
• The App may provide AI-related features (e.g., summarization, insights, route naming, etc.).
• We reserve the right to update, optimize, maintain, or adjust functions within a reasonable scope.

3. License Grant and Use Restrictions

• Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable limited license to use the App on Apple devices you own or control.
• Except as explicitly permitted by law, you may not:
• Reverse engineer, decompile, disassemble, or attempt to obtain the source code;
• Bypass, destroy, or circumvent security mechanisms;
• Use the App for illegal, infringing, fraudulent, harassing, or malicious code distribution activities;
• Abnormally scrape, batch request, or interfere with system stability through automated means;
• Copy, rent, sublicense, or sell the App or any part thereof without authorization.

4. User Content

• The rights to the content you upload, create, or save through the App ("User Content") belong to you or the legal rights holder.
• To provide the service (e.g., storage, synchronization, display, backup, export, AI processing), you grant us and necessary service providers a non-exclusive, worldwide, royalty-free, sublicensable (only for performance purposes) processing license.
• You promise: You have legal rights or necessary authorization for the User Content; User Content does not infringe on any third-party rights or violate applicable laws.
• You are responsible for the authenticity, legality, and integrity of User Content.

5. Subscription and Payment

• Some features of the App may use a subscription model (e.g., monthly/yearly membership). Specific prices, cycles, and benefits are subject to the in-app display.
• Subscriptions are paid and managed through the Apple App Store and usually renew automatically.
• To cancel a subscription, please operate through your Apple account settings before the end of the current billing cycle.
• Refunds and billing disputes are handled according to Apple's rules; we do not directly process payment channel refunds.
• We may adjust prices or plans in accordance with legal and platform rules, and will notify you within the App or through platform mechanisms.

6. Special Terms for AI Features

• AI features are generated by algorithms; results may be inaccurate, incomplete, or not meet your expectations and are for reference only.
• AI output does not constitute legal, medical, psychological, financial, or other professional advice.
• You should judge and bear the consequences of taking action based on AI output yourself.
• You may not use AI features to generate or spread illegal or infringing content.
• We may throttle, adjust, or take down AI features for safety, compliance, and service quality purposes.

7. Health, Location, and Safety Features Declaration

• When the App involves system permissions such as health, location, camera, microphone, or biometrics, related functions will run after your authorization.
• Health-related data functions are for recording and display only and are not for medical diagnosis or emergency services.
• You can turn off relevant permissions in system settings at any time, but some features may become unavailable or restricted.
• App Lock (PIN/Biometrics) is intended to enhance local access security but does not constitute an absolute security guarantee.

8. Third-Party Services and Links

• The App may integrate third-party services (e.g., Apple CloudKit, StoreKit, HealthKit, cloud and AI providers, etc.).
• Third-party services are subject to their own terms and privacy policies.
• For functional impacts caused by third-party service interruptions, limits, or policy changes, we will assist with explanations within a reasonable range but do not bear responsibility beyond legal requirements for third-party actions.

9. Privacy and Data Protection

We process your personal information according to the "That Day Privacy Policy". The Privacy Policy is an important part of these Terms and has the same legal effect.

10. Service Availability and Updates

• We will use reasonable efforts to maintain continuous and stable service, but do not guarantee that the service will always be uninterrupted, error-free, or delay-free.
• We will handle interruptions caused by system maintenance, upgrades, network issues, device failures, force majeure, or third-party reasons within a reasonable range.
• For safety and compatibility, some old versions may be restricted; it is recommended to keep the App updated.

11. Intellectual Property

• Except for User Content, the intellectual property of the App and its related technology, interface, trademarks, copy, code, and design belongs to us or the rights holders.
• You may not use the aforementioned intellectual property in any way without written permission.

12. Breach and Handling

If you violate these Terms or applicable laws, we have the right to take one or more measures based on the circumstances:

• Warning, restricting functions, suspending or terminating services;
• Deleting or blocking relevant content;
• Pursuing legal responsibility and reserving the right to report to competent authorities.

13. Disclaimer

To the extent permitted by applicable law, the App is provided "as is" and "as available". We do not make any express or implied warranties regarding:

• The service being completely error-free, uninterrupted, or without security risks;
• The accuracy, completeness, or suitability of AI output;
• Fitness for a particular purpose or meeting all your expectations.

You understand and agree: your use of the App is at your own risk.

14. Limitation of Liability

• To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, punitive, or consequential losses, including but not limited to loss of profits, data, or goodwill.
• To the extent permitted by applicable law, our cumulative liability related to your use of the App is limited to the higher of the actual amount you paid for the App in the 12 months preceding the dispute or the equivalent of 100 USD.
• If your jurisdiction does not allow certain liability limitations, the above limitations apply to the maximum extent permitted by law in that jurisdiction.

15. Indemnification

You shall indemnify and hold us harmless to the extent permitted by law for any claims, losses, liabilities, and expenses (including reasonable attorney fees) arising from your violation of these Terms, applicable laws, or infringement of third-party rights.

16. Term Changes

• We may update these Terms according to business and legal requirements.
• Significant changes will be notified via in-app prompts or other reasonable means.
• Continued use of the App after changes take effect is deemed acceptance of the updated Terms.

17. Termination

• You may stop using and uninstall the App at any time.
• We may suspend or terminate your access to the Service in case of serious breach, illegal risk, or legal requirement.
• After termination, provisions that by their nature should continue to be effective (e.g., intellectual property, limitation of liability, dispute resolution, etc.) remain effective.

18. Applicable Law and Dispute Resolution

• These Terms are governed by the laws of the People's Republic of China (excluding conflict rules).
• Any dispute arising from or related to these Terms shall first be settled through friendly negotiation; if negotiation fails, either party may file a lawsuit in a people's court with jurisdiction.
• If the consumer protection laws in your jurisdiction have other mandatory provisions, those mandatory provisions shall prevail.
